Foundation — End User License Agreement (EULA)

IMPORTANT — READ CAREFULLY

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you (either an individual or a single entity, "You" or "Licensee") and Human Renaissance Corporation ("Licensor," "we," "us," or "our") governing your use of the Foundation application for Jira Cloud (the "App").

By installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, do not install or use the App.

This App is distributed through the Atlassian Marketplace and operates on the Atlassian Forge platform. Your use of the App is also subject to the Atlassian Marketplace Terms of Use and the Atlassian Cloud Terms of Service.

1. Definitions

  • "App" means the Foundation application for Jira Cloud, including all software, code, interfaces, content, documentation, and updates provided by Licensor.
  • "Authorized Users" means the individuals authorized by the Licensee to access and use the App, subject to the applicable license tier.
  • "Customer Data" means any data, content, or information that the Licensee or its Authorized Users input into, create with, or transfer to the App.
  • "Forge Platform" means Atlassian's cloud application platform on which the App is built and operates.
  • "Jira Data" means data originating from the Licensee's Atlassian Jira Cloud instance.

2. Grant of License

2.1 License

Subject to the terms of this Agreement and payment of applicable fees, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App in connection with your Atlassian Jira Cloud instance for your internal business purposes.

2.2 License Tiers

  • Free Tier: Available at no charge for up to 10 Authorized Users.
  • Standard Edition: Core hierarchy, inline editing, sync agents, formatting, sharing, and export features.
  • Advanced Edition: Includes all Standard features plus Gantt charts, baselines, dependency management, critical path analysis, and resource planning.

2.3 Beta Program

If you are participating in the Foundation Beta Program:

  • Beta access is provided at no charge for the duration of the beta period.
  • Beta Reward: Beta participants who actively test the App and provide feedback will receive a credit equivalent to one (1) year of the applicable paid license tier upon general availability. This credit is non-transferable, non-refundable, and has no cash value.
  • Beta software is provided "as-is" with no guarantees of feature completeness, availability, or performance.
  • We reserve the right to modify, suspend, or terminate the beta program at any time.
  • Feedback, suggestions, and bug reports provided during the beta program may be used by Licensor without restriction or compensation.

3. Restrictions

You shall not:

  • Copy, modify, reverse engineer, decompile, or disassemble the App, except as expressly permitted by applicable law.
  • Distribute, sublicense, lease, rent, or transfer the App to any third party.
  • Remove or alter any proprietary notices on the App.
  • Use the App to develop a competing product or service.
  • Use the App in violation of applicable laws or the Atlassian Marketplace Terms of Use.
  • Attempt to gain unauthorized access to the App, the Forge Platform, or related systems.
  • Exceed the number of Authorized Users permitted by your license tier.

4. Intellectual Property

4.1 Ownership

The App, including all intellectual property rights therein, is and shall remain the exclusive property of Licensor. This Agreement does not convey any ownership interest.

4.2 Customer Data

You retain all right, title, and interest in your Customer Data. You grant Licensor a limited license to process your Customer Data solely as necessary to provide the App.

4.3 Jira Data

The App caches Jira Data in Forge SQL solely to improve performance and does not claim any ownership of Jira Data.

4.4 Feedback

Any feedback or suggestions you provide regarding the App shall be the property of Licensor. You hereby assign all right, title, and interest in such Feedback.

5. Data Handling

5.1 Forge-Native Architecture

The App is built entirely on Atlassian Forge. No Customer Data or Jira Data is transmitted to, processed by, or stored on servers outside the Atlassian platform.

5.2 Data Modifications

When you edit data through the App, those changes are written directly to Jira. The App acts as an interface to Jira — it is not an independent data store for issue data.

5.3 Analytics

We use third-party analytics tools to collect anonymized usage data for the purpose of improving the Service. See our Privacy Policy for details.

5.4 Data Deletion

Uninstalling the App triggers Atlassian's standard Forge data cleanup process, removing all App-specific data.

6. DISCLAIMER OF WARRANTIES

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YOU ACKNOWLEDGE THAT THE APP INTERACTS WITH JIRA DATA AND THAT SOFTWARE ERRORS COULD POTENTIALLY RESULT IN UNINTENDED MODIFICATIONS TO JIRA ISSUE DATA. You are solely responsible for maintaining independent backups of critical Jira data.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $50.00.

8. Indemnification

You agree to indemnify and hold harmless Licensor from any claims arising from your use of the App, your violation of this Agreement, or any applicable law.

9. Term and Termination

This Agreement is effective upon installation and continues until terminated. You may terminate by uninstalling the App. Licensor may terminate immediately if you breach any term. Sections 4, 6, 7, 8, 10, and 11 survive termination.

10. General Provisions

  • Governing Law: State of Delaware, United States.
  • Dispute Resolution: Binding arbitration administered by the American Arbitration Association (AAA).
  • Entire Agreement: This Agreement, together with the Atlassian Marketplace Terms, constitutes the entire agreement.
  • Severability: If any provision is held invalid, the remaining provisions remain in effect.
  • Assignment: You may not assign this Agreement without prior written consent.
  • Force Majeure: Licensor is not liable for failures due to causes beyond reasonable control.
  • Modifications: Licensor may modify this Agreement with notice. Continued use constitutes acceptance.
